VENDOR / SELLER AGREEMENT

(Hereinafter referred to as “Company”, “Platform”, or “Fourved”)
And
Vendor / Seller: ______________________________
(Hereinafter referred to as “Vendor” or “Seller”)

1. PURPOSE OF AGREEMENT
This Agreement governs the terms under which the Vendor is permitted to list, promote, and sell products through the Fourved online marketplace.
Fourved operates as a technology platform only and does not act as a seller, manufacturer, distributor, or agent of the Vendor.

2. VENDOR ELIGIBILITY & REGISTRATION
The Vendor confirms that:
✔ They are legally authorized to sell products
✔ All business registrations, GST, licenses are valid
✔ Information provided is true and accurate
✔ Products comply with Indian laws and regulations
Fourved reserves the right to approve, reject, or suspend any Vendor account without prior notice.

3. NATURE OF RELATIONSHIP
This is a principal-to-principal relationship
Vendor is not an employee, partner, or agent of Fourved
Fourved only provides marketplace technology and support

4. PRODUCT LISTING RESPONSIBILITIES
Vendor agrees that:
All product information is accurate and genuine
Product images and descriptions are original
Pricing is correct and inclusive of taxes
Products are legal, safe, and not prohibited
🚫 Vendor shall not list:
Counterfeit or fake products
Banned or illegal items
Copyright-infringing goods
Fourved may remove any listing without notice.

5. ORDER FULFILLMENT
Vendor is solely responsible for:
✔ Packaging
✔ Shipping
✔ Delivery timelines
✔ Quality control
✔ Invoices & GST compliance
Fourved is not liable for:
Delivery delays
Damaged goods
Customer dissatisfaction

6. PRICING & COMMISSION
Vendor sets product pricing
Fourved may charge:
Commission
Platform fee
Marketing or listing fees
All fees will be communicated separately or deducted automatically.

7. PAYMENTS & SETTLEMENTS
Payments are processed through approved gateways
Settlement cycle: 7–15 working days
Deductions may include:
Commission
Returns
Penalties
Taxes
Fourved reserves the right to hold or delay payment in case of disputes or fraud.

8. RETURNS, REFUNDS & CANCELLATIONS
✔ Returns are governed by Fourved’s Return Policy
✔ Vendor must accept eligible returns
✔ Refunds shall be processed only after product inspection
Vendor agrees:
To bear return shipping costs (if applicable)
To cooperate in dispute resolution

9. QUALITY & COMPLIANCE
Vendor guarantees:
Product quality
Legal compliance
Proper labeling
Warranty (if applicable)
Vendor shall be solely responsible for:
Customer complaints
Product liability claims
Legal disputes

10. INTELLECTUAL PROPERTY
Vendor grants Fourved the right to use product images, brand name, and logos for marketing
Vendor confirms ownership or authorization of content
Fourved owns all platform-related IP

11. TERMINATION
Fourved may terminate this Agreement:
✔ Without prior notice
✔ For policy violation
✔ For fraud or misrepresentation
✔ For poor service or complaints
Vendor may terminate by giving 30 days written notice.
Upon termination:
All listings removed
Pending dues settled after adjustment
No claims against Fourved

12. LIMITATION OF LIABILITY
Fourved shall NOT be liable for:
Business loss
Loss of profits
Customer disputes
Legal claims against Vendor
Maximum liability (if any) shall not exceed the commission earned by Fourved for that order.

13. INDEMNIFICATION
Vendor agrees to indemnify and hold harmless Fourved from:
Legal claims
Customer complaints
Government penalties
Product liability cases
Intellectual property disputes

14. CONFIDENTIALITY
Vendor shall not disclose:
Platform data
Customer information
Pricing or commission details
Violation may result in legal action.

15. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by the laws of India.
All disputes shall be subject to exclusive jurisdiction of Ahmedabad, Gujarat courts.

16. MODIFICATION OF TERMS
Fourved reserves the right to modify this Agreement at any time.
Continued use of the platform implies acceptance of updated terms.
